1. Acceptance of terms

By creating an account or using the Stride service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

2. The service

The Service is an AI-powered software delivery intelligence platform that helps teams plan, architect, test, and analyze software projects. Features include AI-generated stories, test cases, diagrams, ADRs, and process models.

3. Accounts and eligibility

  • You must be at least 18 years old to use the Service.
  • You are responsible for safeguarding your credentials and for all activity under your account.
  • You agree to provide accurate account information and to keep it up to date.
  • One person or organization per account. You may not share accounts.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms.
  • Reverse-engineer, scrape, or attempt to extract the underlying models or training data.
  • Upload content that infringes intellectual property or privacy rights of others.
  • Attempt to disrupt, overload, or circumvent the Service's security controls.
  • Use the Service to build a directly competitive product.

5. Content and intellectual property

Your content: You retain all rights to data, artifacts, and documents you upload or create using the Service. You grant Newlight a limited license to host, process, and display that content solely to provide the Service to you.

AI-generated output: Subject to these Terms, we assign to you all rights we may have in AI-generated content produced for your account. You are responsible for reviewing AI output before relying on or publishing it.

Our IP: Newlight retains all rights to the Service itself, including software, models, prompts, and trademarks.

6. Fees and payment

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We may change prices with 30 days' notice for existing subscribers; changes apply at the next renewal.

7. Data protection

Our handling of personal data is described in the Privacy Policy. If you are processing personal data of others through the Service, our Data Processing Addendum applies.

8. Service levels and availability

We target 99.5% uptime for Starter and Pro plans and 99.95% for Enterprise customers, excluding scheduled maintenance. Current status is available at status.newlightai.com. Remedies for extended downtime are described in the plan documentation.

9. Termination

You may cancel at any time from the billing settings page. We may suspend or terminate accounts that violate these Terms, fail to pay, or pose a risk to other customers. On termination, your data is retained for 30 days and then permanently deleted.

10. Warranties and disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. AI-GENERATED CONTENT MAY CONTAIN INACCURACIES; REVIEW BEFORE RELYING ON IT. WE DISCLAIM ALL IMPLIED WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEWLIGHT'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, OR LOST-PROFIT DAMAGES.

12. Governing law and disputes

These Terms are governed by the laws of [JURISDICTION TBD BY COUNSEL]. Disputes will be resolved by binding arbitration on an individual (non-class) basis, except that either party may seek injunctive relief in court.

13. Changes

We may update these Terms. We will notify you of material changes by email and in-app banner at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
